Welcome to CyberSolutions USA LLC's RapidSEO service (the "Service"). By proceeding with your payment for RapidSEO through our Stripe checkout process, you ("Client," "you," or "your") agree to these Terms of Service and Acknowledgment (the "Terms"). These Terms form a legally binding agreement between you and CyberSolutions USA LLC, a Florida limited liability company with its principal place of business at 111 NE 1ST ST 8TH FL, MIAMI, FL 33132 ("CyberSolutions," "we," "us," or "our"). These Terms supplement any existing services agreement you may have with us (the "Main Agreement"). In the event of any conflict, these Terms control with respect to the RapidSEO Service. If you do not agree to these Terms, do not complete your purchase. By clicking "Pay Now" or otherwise completing the payment, you confirm that you have read, understood, and accept these Terms on behalf of yourself or the entity you represent, and that you are authorized to bind such entity.

1. Description of RapidSEO

RapidSEO is our advanced SEO optimization service powered by proprietary technologies. It is designed to enhance your website's search engine visibility through dynamic content modifications. The Service operates as follows:

• RapidSEO Pixel: We provide a tracking pixel (the "RapidSEO Pixel") for installation on your website. This pixel facilitates real-time overlays that modify and optimize content for search engines.
• Overlay Optimizations: These overlays may include keyword optimizations, meta tag adjustments, content enhancements, and structural improvements. They are intended to improve SEO without directly altering your website's core files.

Important Note: Many RapidSEO modifications are implemented as non-permanent overlays and will not be visible or editable within your content management system (CMS). All optimizations are contingent upon the continued functionality of the RapidSEO Pixel on your website.
Additional Content Implementations: While most RapidSEO modifications function as non-permanent overlays delivered via the RapidSEO Pixel, certain deliverables (such as blog content, on-page text, or CMS-integrated elements) may be directly added to your website or content management system. These direct implementations become part of your website’s content and remain even if the Pixel is removed or the Service is terminated. You acknowledge and accept that such content additions may require manual removal or modification within your CMS if you discontinue the Service and wish to change these elements.

2. Client Acknowledgments and Responsibilities

By purchasing RapidSEO and installing the Pixel, you acknowledge and agree to the following:

• CMS Limitations: The Service does not involve direct modifications to your CMS; optimizations are overlay-based. While you will receive the SEO benefits, such changes cannot be managed or edited through your CMS interface.
• Pixel Dependency: The RapidSEO Pixel must remain installed and operational. Any removal, disabling, or interference with the Pixel will result in the immediate cessation of all optimizations.
• Your Obligations: You shall provide necessary access to your website for setup and monitoring purposes. Your website must comply with all applicable laws and regulations (including, but not limited to, GDPR and CCPA), and you shall not utilize RapidSEO in a manner that violates any third-party agreements (e.g., hosting provider terms).
• No Performance Guarantees: Search engine optimization outcomes are not guaranteed and are influenced by factors beyond our control, such as algorithm changes. The Service is provided on an "as is" basis, without warranties regarding specific rankings or results.
• Data Access: We may access your website data as required to implement and monitor the Service, in compliance with applicable privacy laws.

2.1 Payment Terms and Contract Duration

RapidSEO services are billed on a 30-day prepaid basis. By completing your payment, you are purchasing access to the Service for a single 30-day period. There are no long-term contracts or commitments. If you wish to discontinue the Service, you must notify us at support@cybersolutions-llc.com prior to your next billing cycle. Any recurring charges will be canceled upon receipt. Payments already made are non-refundable, but no further charges will be incurred after cancellation.

3. Termination and Post-Termination Procedures

Upon termination of the Service or the Main Agreement for any reason (including non-payment or mutual agreement):

• Freezing of Optimizations: We will freeze your current RapidSEO configuration within our system. Provided the Pixel remains installed and functional on your website, the frozen optimizations will continue to apply indefinitely.
• Reactivation or Removal: Upon your request to unfreeze (for further modifications) or remove the Pixel:
  • You shall be solely responsible for documenting and re-implementing any SEO optimizations previously applied through RapidSEO (e.g., manually integrating keywords into your CMS).
  • We shall not provide backups, exports, or assistance for re-implementation except pursuant to a separate paid engagement.
  • Such actions may result in the permanent loss of optimizations, and we disclaim any liability for resulting impacts on your website's SEO performance.

Following termination, we shall have no obligation to maintain, update, transfer, or restore RapidSEO data or configurations, though frozen optimizations will persist via the Pixel as described above.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

• Exclusion of Certain Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Terms or the Service, including but not limited to loss of profits, data, goodwill, or SEO performance, even if advised of the possibility of such damages.
• Aggregated Liability Cap: Our aggregate liability under these Terms shall not exceed the total fees paid by you for the Service in the twelve (12) months preceding the claim.
• Indemnification: You agree to indemnify, defend, and hold harmless CyberSolutions, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (i) your use of the Service; (ii) any breach of these Terms; (iii) your website's content or operations; or (iv) any third-party claims related to the implementation of the Pixel or optimizations.

5. Disclaimer of Warranties

The Service is provided "as is" and "as available," without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted operation. We do not warrant that the Service will meet your specific requirements, achieve desired SEO outcomes, or operate without errors or interruptions.

6. General Provisions

• Governing Law: These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to the personal jurisdiction and venue therein.
• Entire Agreement: These Terms, together with the Main Agreement, constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings or agreements.
• Amendments: We reserve the right to modify these Terms at any time upon notice to you. Your continued use of the Service following such notice constitutes acceptance of the modifications.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent.
• Force Majeure: Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, or other unforeseen events.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Acknowledgment of Agreement

By completing your Stripe payment, you acknowledge that you have reviewed these Terms in full, understand the overlay-based nature of RapidSEO (including the absence of CMS modifications), the procedures for termination and post-termination handling, and the limitations on our liability.
